These terms govern your use of obsidianailabs.ca and any services or content provided by Obsidian AI Labs Inc. ("Obsidian AI Labs", "we", "us"). By using the site or engaging us for services, you agree to these terms. If you don't agree, please don't use the site.

Use of the site

You agree to use the site in good faith. Specifically, you agree not to:

Content and intellectual property

Unless otherwise noted, the content on this site (writing, design, imagery, logos, and code) is owned by or licensed to Obsidian AI Labs Inc. You may link to and share pages in normal editorial contexts. For anything beyond that (reprinting, republishing, commercial use of our logo, etc.), please ask at info@obsidianailabs.ca first.

Where we share open-source code, research outputs, or reference implementations, those pieces are governed by the license stated in their repository, not by these site terms.

Services

When you engage Obsidian AI Labs for a specific piece of work, the terms of that engagement (scope, timeline, payment, deliverables, ownership, warranties, confidentiality) are set out in a separate statement of work or engagement agreement that both parties sign. Those specific terms take precedence over this general document for the scope of that engagement.

We do not guarantee any specific business outcome. What we do guarantee: honest work, clear communication about what we're doing and why, and no fabricated results. If something isn't working, we'll tell you directly.

AI-generated content

Some of our deliverables are generated with the assistance of AI models (including models from Anthropic, OpenAI, and Google). We review AI-generated outputs before delivering them to you, but we don't claim AI outputs are perfect. If a deliverable contains an error, tell us and we'll correct it promptly at no additional charge.

AI assistant engagements

The terms in this section apply to clients who engage us for one of our AI assistant tiers (Obsidian Executive Assistant, Digital Assistant, or Digital Worker). They supplement the statement of work for each engagement and are incorporated by reference into it.

Your role and ours

You retain full ownership of your data, your content, your API keys, and the outputs your AI assistant produces. We act as your service provider, building and operating the infrastructure that runs the assistant. We do not claim ownership of any business data that flows through the system.

Responsibility for agent outputs

Your AI assistant drafts content, proposes actions, and in auto-send mode can execute outbound actions on your behalf (for example, sending an email from your address). You are responsible for those outputs and actions in the same way you are responsible for anything a human assistant would do for you. We build the agents to be accurate and to flag uncertainty, but final accountability for what your assistant says and does rests with you. Where feasible we default new agents to "draft only" mode so you can review before sending.

No guarantee of specific revenue or outcome

Our AI assistant services help you run your business more efficiently. They do not guarantee additional revenue, new leads, closed sales, cost reductions, or any other specific business outcome. We are building infrastructure and workflows, not a revenue guarantee. Your results depend on your inputs, your market, your team, and your follow-through.

Third-party service availability

Your AI assistant depends on third-party services (Anthropic, Google, Stripe, HighLevel, your CRM, your email provider, and others). When any of those services have outages, rate limits, or breaking API changes, your assistant may be temporarily impaired. We monitor and respond to these events, but we are not liable for the downstream third-party availability itself.

API keys and credentials

You give us API keys and OAuth tokens so your assistant can access your tools. We protect them in accordance with our privacy policy. You represent that you have the legal right to share each credential you give us (for example, you are authorized to connect your company's HighLevel account, you have consent to automate actions on behalf of your team, etc.). If any credential you share causes a third-party service to terminate your account or charge fees, those are your costs, not ours.

Term and cancellation

Your engagement begins on the effective date set in your statement of work and continues on a month-to-month basis. Either party may cancel with 15 days written notice before the next billing period. On cancellation, we provide a configuration export in a standard format if you request one, at no additional cost, and decommission your Digital Worker within 30 days. We do not issue refunds for partial months.

Credential rotation and data export

You can rotate credentials and request a full data export at any time while your engagement is active. Rotating a credential does not by itself constitute cancellation.

Compliance with your industry rules

If your industry is subject to specific regulations (healthcare, financial services, legal, education, and so on), you are responsible for identifying which of your workflows can use AI and for telling us about any constraints before we build. We will honor any constraint you put in the statement of work. We do not provide legal advice on whether a specific use is compliant with your industry's rules.

Service level expectations

We aim for 99% availability on dedicated client instances. Planned maintenance windows are notified in advance. Unplanned outages trigger a priority response consistent with your engagement tier. Specific SLA details including response times and any service credits are in your statement of work.

Disclaimers and limitation of liability

The site is provided "as is", without warranties of any kind. To the extent permitted by law, Obsidian AI Labs Inc. disclaims all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

Our liability for any claim arising from site use is limited to the amount (if any) you have paid us in the twelve months preceding the claim. For paid engagements, the specific statement of work may define a different cap.

None of the above limits liability for fraud, gross negligence, or anything that cannot legally be limited.

Governing law

These terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada. Any dispute you can't resolve with us directly goes before the courts of Ontario.

Changes

We may update these terms from time to time. Material changes will be flagged by updating the "Last updated" date. Continuing to use the site after an update means you accept the new version.
